Quotes & Proposals
Any quote or proposal provided by A.R.C Technology is valid for 30 days from the date of issue, unless otherwise stated in writing. A quote does not constitute a binding contract until a service agreement is fully executed.
Client Responsibilities
Clients engaging our services agree to:

Payment

A.R.C Technology reserves the right to suspend services for overdue accounts and to charge interest on late payments at a rate permitted under applicable Bahamian law.

Work Product

All content, data, systems, and materials provided by the client remain the sole property of the client. A.R.C Technology claims no ownership over client materials and will use them only as necessary to deliver the contracted services.
5. Confidentiality
Both parties agree to treat as confidential any non-public information disclosed in the course of a service engagement, including business processes, system configurations, client data, pricing, and proprietary methods. Confidential information shall not be disclosed to third parties without written consent, except as required by law or as necessary to deliver the services.
This confidentiality obligation survives the termination of any service agreement for a period of 3 years, or longer if specified in the relevant agreement.
A.R.C Technology will not disclose details of any client engagement — including the existence of the engagement itself — without the client's prior written consent, except as required by applicable law.
6. Disclaimer of Warranties

In the event of a force majeure, we will notify you as soon as reasonably practicable and make reasonable efforts to resume performance at the earliest opportunity.
10. Governing Law & Dispute Resolution
These Terms of Use and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of The Commonwealth of the Bahamas. The parties agree to submit to the exclusive jurisdiction of the courts of The Bahamas for the resolution of any such dispute.
Before initiating formal legal proceedings, both parties agree to make reasonable good-faith efforts to resolve any dispute informally by contacting the other party in writing and allowing 30 days for a response.
