These Terms of Use govern your access to and use of our website at arctechnologyhq.com and, together with any written service agreement, your engagement of our professional IT services. By accessing our website or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our website or engage our services.

3. Services & Professional Engagements

Information provided on this website about our services is for general informational purposes only and does not constitute a binding offer. All professional engagements are subject to a separate written service agreement signed by both parties.

Quotes & Proposals

Any quote or proposal provided by A.R.C Technology is valid for 30 days from the date of issue, unless otherwise stated in writing. A quote does not constitute a binding contract until a service agreement is fully executed.

Client Responsibilities

Clients engaging our services agree to:

• Provide accurate, complete, and timely information necessary for us to perform the services
• Ensure appropriate access to systems, premises, and personnel as reasonably required
• Notify us promptly of any changes in requirements, priorities, or circumstances that may affect service delivery
• Review and approve deliverables within agreed timelines to avoid project delays

Payment

Payment terms are specified in individual service agreements. Unless otherwise agreed in writing, invoices are due within 14 days of issue. A.R.C Technology reserves the right to suspend services for overdue accounts and to charge interest on late payments at a rate permitted under applicable Bahamian law.

4. Intellectual Property

Our Content

All content on this website — including text, images, graphics, logos, icons, and code — is the property of A.R.C Technology or its licensors and is protected under applicable intellectual property laws of The Bahamas and international conventions.

Work Product

Unless explicitly agreed otherwise in a written service agreement, intellectual property created by A.R.C Technology in the course of delivering services (including custom code, configurations, and documentation) remains our property until full payment is received, at which point ownership transfers to the client as specified in the service agreement.

Client Materials

All content, data, systems, and materials provided by the client remain the sole property of the client. A.R.C Technology claims no ownership over client materials and will use them only as necessary to deliver the contracted services.

5. Confidentiality

Both parties agree to treat as confidential any non-public information disclosed in the course of a service engagement, including business processes, system configurations, client data, pricing, and proprietary methods. Confidential information shall not be disclosed to third parties without written consent, except as required by law or as necessary to deliver the services.

This confidentiality obligation survives the termination of any service agreement for a period of 3 years, or longer if specified in the relevant agreement.

A.R.C Technology will not disclose details of any client engagement — including the existence of the engagement itself — without the client's prior written consent, except as required by applicable law.

6. Disclaimer of Warranties

This website is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, A.R.C Technology expressly disclaims all warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

For paid engagements, your executed statement of work, master services agreement, or other written contract controls fees, deliverables, and liability caps and supersedes the website liability limit in this section when the two conflict.

You agree to indemnify, defend, and hold harmless A.R.C Technology, its directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of any applicable law or regulation
• Your infringement of any third-party rights, including intellectual property rights
• Any misrepresentation made by you in connection with this website or a service engagement

9. Force Majeure

A.R.C Technology shall not be liable for any delay or failure to perform its obligations under these terms or any service agreement to the extent that such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet or telecommunications outages, hurricanes, pandemics, or civil unrest.

In the event of a force majeure, we will notify you as soon as reasonably practicable and make reasonable efforts to resume performance at the earliest opportunity.

10. Governing Law & Dispute Resolution

These Terms of Use and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of The Commonwealth of the Bahamas. The parties agree to submit to the exclusive jurisdiction of the courts of The Bahamas for the resolution of any such dispute.

Before initiating formal legal proceedings, both parties agree to make reasonable good-faith efforts to resolve any dispute informally by contacting the other party in writing and allowing 30 days for a response.

11. Changes to These Terms

We reserve the right to modify these Terms of Use at any time. Changes will take effect upon posting to this website with an updated "Last updated" date. For material changes, we will make reasonable efforts to provide advance notice. Your continued use of the website following the posting of changes constitutes your acceptance of the revised terms.
